General Terms and Conditions of Sale

Article 1: Scope

These General Terms and Conditions of Sale apply to all sales concluded through the website https://verano-design.com, operated by Verano Design.

They may be amended at any time. The terms applicable to an order are those in force on the date it is confirmed. By placing an order on the website, you acknowledge that you have read, understood and accepted these terms.

Article 2: Products

We distribute design outdoor furniture and outdoor space design solutions from selected European manufacturers.

Made to order. All our products are manufactured after your order has been confirmed. We do not hold permanent stock. This approach involves an unavoidable manufacturing lead time, as set out in our delivery policy.

The essential characteristics of the products are presented on each product page. Photographs are not contractually binding: given the nature of the materials and of the manufacturing processes, slight variations in shade, texture or dimensions may exist between the image shown and the product delivered, without these constituting a lack of conformity.

If a product becomes permanently unavailable after your order has been confirmed, you will be informed as soon as possible and refunded in full.

Article 3: Orders

The website's automatic recording systems are deemed to constitute proof of the nature and content of the order.

The sale is concluded once payment has been confirmed. A confirmation email is sent to the email address provided when the order was placed.

We reserve the right to refuse or cancel any order that is abnormal in nature, placed in bad faith, or placed by a customer with whom there is a dispute concerning payment for a previous order.

Article 4: Prices

Prices are stated in euros, inclusive of all taxes, excluding delivery costs. The applicable delivery costs are shown before payment is confirmed.

Prices may be changed at any time without notice, it being understood that products are invoiced on the basis of the prices in force at the time the order is recorded.

For deliveries to Switzerland, which is outside the European Union, customs duties, taxes or customs clearance fees may apply and are payable by the recipient.

Article 5: Payment

Payment is made online, in euros, when the order is confirmed. The accepted means of payment are displayed at checkout.

Transactions are processed on the secure servers of our payment providers. None of your bank details pass through or are stored by Verano Design.

If payment is refused or a transaction is flagged as potentially fraudulent, the order is not processed and you are informed by email. We may contact you to confirm certain details before processing your order.

No cash-on-delivery consignment will be accepted, for any reason whatsoever.

Article 6: Delivery

The delivery lead time given when you order is the sum of the manufacturing lead time and the transport time. It may be extended in the event of force majeure or exceptional circumstances, such as carrier strikes, shortages of raw materials or extreme weather conditions.

As our products are bulky, some deliveries are made by a specialist carrier by appointment. It is your responsibility to check that your delivery address is accessible before ordering and to inform us of any access constraints.

In the event of visible damage on receipt, you must record precise and detailed reservations on the delivery note, and then inform us within three working days, in accordance with Article L. 133-3 of the French Commercial Code (Code de commerce).

Article 7: Transfer of ownership and transfer of risk

Ownership of the products is transferred only once the price has been paid in full, regardless of the delivery date.

The risk of loss and damage passes to you at the moment you take physical possession of the products, in accordance with Article L. 216-4 of the French Consumer Code (Code de la consommation).

Article 8: Right of withdrawal

If you are a consumer, you have a period of 30 calendar days from receipt of the last product in your order to exercise your right of withdrawal, without having to give any reason for your decision. This period is longer than the statutory period of 14 days provided for in Article L. 221-18 of the French Consumer Code (Code de la consommation).

In accordance with Article L. 221-28 3° of the French Consumer Code (Code de la consommation), the right of withdrawal cannot be exercised for goods made to your specifications or clearly personalised. This exclusion is explicitly indicated to you on the product page before your order is confirmed.

Return costs are borne by you, in accordance with Article L. 221-23 of the French Consumer Code (Code de la consommation), except in the event of a lack of conformity, a latent defect or damage in transit.

Article 9: Statutory guarantees

All our products benefit from the statutory guarantee of conformity provided for in Articles L. 217-3 et seq. of the French Consumer Code (Code de la consommation), applicable for two years from delivery of the goods, as well as from the guarantee against latent defects provided for in Articles 1641 et seq. of the French Civil Code (Code civil).

Some manufacturers offer additional commercial guarantees, which are in addition to the statutory guarantees and never replace them.

Article 10: Liability

Product descriptions are drawn up on the basis of the information provided by the manufacturers. We cannot be held liable in the event of force majeure.

These limitations apply to the fullest extent permitted by law. They shall not exclude or limit the statutory guarantees of conformity and against latent defects, nor our liability in the event of personal injury or gross negligence.

Article 12: Mediation and dispute resolution

In the event of a dispute, you may refer the matter free of charge to a consumer mediator.

You may also use the European online dispute resolution platform, available at https://ec.europa.eu/consumers/odr.

Failing an amicable settlement, the dispute may be brought before the competent French courts.

Article 13: Governing law

These General Terms and Conditions of Sale, and all purchase and sale transactions referred to herein, are governed by French law. The French language version shall prevail.

Article 14: Acceptance

These General Terms and Conditions of Sale and the prices are expressly approved and accepted by the buyer, who declares and acknowledges full knowledge of them. The act of purchase entails acceptance of these General Terms and Conditions of Sale.
